2011-R-37 - Agreement Croton PropertiesRESOLUTION NO. 11-R-37 A RESOLUTION BY THE CITY COUNCIL OF THE CITY OF SCHERTZ, TEXAS AUTHORIZING AN AGREEMENT WITH CROTON PROPERTIES, LLC, AND OTHER MATTERS IN CONNECTION THEREWITH WHEREAS, the City staff of the City of Schertz (the "City") has recommended that the City enter into an Agreement with Croton Properties, LLC relating to the proposed Pride Rock Ranch development; and WHEREAS, the City Council has determined that it is in the best interest of the City to contract with Croton Properties, LLC pursuant to the Agreement attached hereto as Exhibit A (the "Agreement"). BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SCHERTZ, TEXAS THAT: Section 1. The City Council hereby authorizes the City Manager to execute and deliver the Agreement with Croton Properties, LLC in substantially the form set forth on Exhibit A. The City Manager, in consultation with the Mayor and the City Attorney, is hereby authorized to finalize the Agreement and all Exhibits thereto, provided that no modifications authorized by the City Manager shall be contrary to, or inconsistent with, the Agreement in the form attached hereto. Section 2. The recitals contained in the preamble hereof are hereby found to be true, and such recitals are hereby made a part of this Resolution for all purposes and are adopted as a part of the judgment and findings of the City Council. Section 3. All resolutions, or parts thereof, which are in conflict or inconsistent with any provision of this Resolution are hereby repealed to the extent of such conflict, and the provisions of this Resolution shall be and remain controlling as to the matters resolved herein. Section 4. This Resolution shall be construed and enforced in accordance with the laws of the State of Texas and the United States of America. Section 5. If any provision of this Resolution or• the application thereof to any person or circumstance shall be held to be invalid, the remainder of this Resolution and the application of such provision to other persons and circumstances shall nevertheless be valid, and the City Council hereby declares that this Resolution would have been enacted without such invalid provision. Section 6. It is officially found, determined, and declared that the meeting at which this Resolution is adopted was open to the public and public notice of the time, place, and subject matter of the public business to be considered at such meeting, including this Resolution, was given, all as required by Chapter 551, Texas Govermnent Code, as amended. 50430823.1 Section 7. A. RECITALS WHEREAS, the Owner is the owner of real property located in the City of Schertz, Bexar County, Texas (the "Property"), more specifically described on Exhibit A, attached hereto and made a pact hereof for all purposes; WHEREAS, the Owner submitted to the City a Master Development Plan application for Pride Rock Ranch, asingle-family residential community, on or about February 17, 2011, which the Owner sought to develop on the Property (the "Pride Rock Ranch Subdivision"); WHEREAS, at the time of submittal of the application, the Property encompassing the Master Development Plan was in the extraterritorial jurisdiction of the City and not incorporated into the City's limits; WHEREAS, on or about February 24, 2011, the Owner filed a lawsuit against the City and Michelle Sanchez, Director of Development Services of the City (but in her individual capacity), styled Croton Properties, LLC v. City of Schertz and Michelle Sanchez; in the 73rd Judicial District Court of Bexar County, Texas; Case No. 2011-CI-02987, asserting that the City had violated the Owner's rights under State law and had caused the Owner to suffer certain damages (the "Lawsuit"); WHEREAS, on or about April 19, 2011, the City, through Ordinance No. 11-A-09, annexed the Property; WHEREAS, the Owner and the City have been engaged in discussions regarding the Lawsuit and the Owner's claimed statutory rights under State law relating to the Master Development Plan; WHEREAS, the Owner and the City have entered into this Agreement regarding the Lawsuit, those rights, and the other matters described herein; NOW THEREFORE, in consideration of the agreements set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby stipulated, the Owner and the City hereto agree as follows: [The Remainder of This Page Intentionally Left Blanlc.] IIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIIII LT2-15169-713-63 95120047.8 B. RECOGNITION AND STATEMENT OT STATUTORY RIGHTS 1. The minimum area of 5,400 square feet per lot shall no[ be affected by the above-permitted lesser required front lot width at the wrb or lot width at the front building line of the dwelling unit or lot depth on such cul-de-sac lots. z Air conditioning units/compressors shall be located at the rear of the dwelling unit. 2. The Owner agrees that the rights described in Paragraph B.1 above are the only statutory rights, vested rights, and/or other rights concerning the manner in which the Owner may develop the Property established by the Owner with respect to the Property that the Owner may assert. Other than as set forth in Paragraph B.1 above, all other aspects of the development of the Property will fully comply with the Unified Development Code of the City (the "UDC"). Except as specifically modified by Paragraph B.1 of this Agreement, the UDC that is in effect on the later of (a) the Effective Date of this Agreement or (b) the date that the Owner or its assigns files a request to modify (in a manner that may not be administratively processed by the City as a "minor modification") either the Master Development Plan (described in Paragraph C.2) or the Planned Development District (described in Paragraph C.4) will apply to the development and building of the Subdivision; provided, except as set forth in Paragraph B.1 of this Agreement, (i) subsequent UDC changes that are reasonably determined by the City to involve matters of health and safety or (ii) development and building requirement changes that are mandated by State law as exceptions to vested rights will apply to the developtent and building of the Subdivision. In addition, the Owner and the City agree that, following cotnpletion of development and construction of the Subdivision, the provisions of the UDC, except to the extent inconsistent with Paragraph B.l, will apply to all property within the Subdivision. 3. The Owner hereby waives aoy other rights not stated in Paragraph B.1 hereof relating to development of the Pride Rock Ranch Subdivision that may have been established by the Master Development Plau, or any other controlling law, statutory or otherwise. Upon execution of this Agreement by all Parties, the Owner agrees to release (on behalf of itself and its cun•ent and former agents, heirs, assigns, successors, beneficiaries, representatives, executors, administrators, insurers, and attorneys, collectively hereinafter referred to as "Owner Releasors") the City and its employees (both past and present, specifically including without limitation Michelle Sanchez), council members, current and former agents, insurers, sureties, 9sizooaas -2- representatives, and attorneys (collectively hereinafter referred to as "City Released Parties") from and against any and all claims, demands, actions, or causes of action, liabilities, debts, damages, or obligations of any kind whatsoever, name, description, or nature, whether currently known or unknown, which as of the Effective Date of this Agreement the Owner Releasors had, now have, or claim to have against any of the City Released Parties which arise out of or are related to the allegations at issue in the Lawsuit, the Property, and/or the Pride Rock Ranch Subdivision. With respect to the Lawsuit, this Paragraph B.3 shall not be effective until the City, acting by and through its Plarming and Zoning Commission and City Council, takes the approving actions described in Paragraph C.1. C. ADDITIONAL AGREEMENTS 1. The Owner agrees that, on the Effective Date, the Owner shall execute an Agreed Motion for Dismissal with Prejudice and Final Judgment of Lawsuit, in the form attached hereto as Exhibit B and incorporated herein for all purposes (the "Agreed Motion"), and deliver such executed Agreed Motion to the City. Upon the Planning and Zoning Commission's, or, if necessary, the City Council's, approval of the Master Development Plan (as described in Paragraph C.2) and the City Council's approval of the Planned Development District (as described in Paragraph C.4), the City is authorized to file the Agreed Motion with the Court of record for the Lawsuit. Until the Agreed Motion is filed with the Court of record for the Lawsuit, the City and the Owner shall take rro actions with respect to the Lawsuit other than executing all required Rule I 1 or similar agreements to hold the Lawsuit in abeyance. 2. A copy of the Master Development Plan is attached hereto as Exhibit C and incorporated herein for all purposes. The City has determined that the Master Development Plan is teclurically complete. The City Manager or his designee will recommend without reservation to the City's Planning and Zoning Commission, and, if necessary, to the City Council, that the Commission, or, if necessary, the City Council, approve the Owner's Master Development Plan for the Pride Rock Ranch Subdivision. 3. The Owner and the City understand and agree that additional documents will be required to be submitted by the Owner, its successors, heirs or assigns, and processed and approved by the City as the Pride Rock Ranch Subdivision is developed on the Property, and that, other than the rights set forth in Paragraph B.1 hereof, this Agreement does not affect the approval of those additional submissions. 4. The Owner has filed an application for a Planned Development District for the Pride Rock Ranch Subdivision. A copy of such application is attached hereto as Exhibit D and incorporated herein for all purposes. City staff has determined such application to be complete. The Owner acknowledges that the Planned Development District application and attachments remain subject to technical review and comment by City staff, which may require modifications to the application by the Owner. The City and the Owner agree that the Owner will pay one-half (1/2) of the City fees normally required in connection with such technical review. The City and the Owner agree that the Master Development Plan, when approved by the Planning and Zoning Commission, or, if necessary, the City Council, will be attached to the application for the Pride Rock Ranch Planned Development District, and the City Manager or his designee will esizooa3s -3- recommend without reservation that the Planning and Zoning Commission and the City Council approve the Planned Development District for the Pride Rock Rauch Subdivision. 5. The Owner hereby represents and warrants that, as of the Effective Date (except as set forth in the last sentence of this Paragraph), it has not conveyed, assigned, or otherwise transfen~ed all or any portion of any interest in the Master Development Plan application, the Master Development Plan, the Planned Development District application, or the Planned Development District, or the Property to any other person or entity. The City hereby authorizes the Owner to make any such conveyance, assignment, or transfer after the Effective Date hereof, provided this Agreement is attached to and incorporated by reference into the instrument of conveyance, assignment, or transfer and provided that the City receives a contemporaneous copy of such instrument. The Owner has entered into a contract dated April 14, 2011 to convey a portion of the Property to Cygnet Limited (the "Developer"); by its acknowledgment of this Agreement, the Developer agrees to all of the teens of this Agreement with respect to the portion of the Property proposed to be conveyed by the Owner to the Developer. D. GENERAL PROVISIONS 1. Approval of Agreement. The City has approved the execution and delivery of this Agreement pursuant to Resolution No. 11-R-37, a copy of which is attached hereto as Exhibit E, and the Owrrer• represents and wanants that it has taken al] necessary action to authorize the execution and delivery of this Agreement. 2. Goverrrmerrtal Inrrnunity. The City does not waive or relinquish any immunity or defense on behalf of itself, its officers, employees, and agents as a result of the execution of this Agreement and the performance of the covenants and actions contained herein. 3. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, executors, representatives, successors, and assigns where permitted by this Agreement, and the terms hereof shall run with the Property. 4. Counterparts. This Agreement may be executed in any number of counterparts with the same effect as if all signatory parties had signed the same document. All counterparts shall be construed together and shall constitute one and the same Agreement. 5. Effect of Waiver or Consent. No waiver or consent, express or implied, by any party to or of any breach or default by any party in the performance by such party of its obligations hereunder shall be deemed or construed to be a consent or waiver to or of any other breach or default in the performance by such party of the same or any other obligations of such party hereunder. Failure on the part of a party to complain of any act of any party or to declare any party in default, in~espective of how long such failure continues, shall not constitute a waiver by such party of its rights hereunder until the applicable statute of limitation period has run. 6. Integration. This Agreement is the complete agreement between the parties as to the subject matter hereof and cannot be varied except by the written agreement of the City and ~sizooa3.s -4- the Owner. The City and the Owner agee that there are no oral agreements, understandings, representations or warranties which are not expressly set forth herein. 7. Notices. Any notice or communication required or permitted hereunder shall be deemed to be delivered three (3) days after such notice is deposited in the United States mail, postage fully prepaid, registered or certified mail return receipt requested, and addressed to the intended recipient at the address shown herein, and if not so shown, then at the last known address according to the records of the party delivering the notice. Any address for notice may be changed by written notice delivered as provided herein. If any provision in this Agreement is for any reason unenforceable, to the extent the uuenforceability does not destroy the basis of the bargain among the parties, such uneuforceability will not affect any other provision hereof, and this Agreement will be construed as if the unenforceable provision had never been a part of this Agreement. Whenever the context requires, the singular will include the plural and neuter include the masculine or feminine gender, and vice versa. Article and section headings in this Agreement are for reference only and are not intended to restrict or define the text of any sectiar. This Agreement will not be construed more or less favorably between the parties by reason of authorship or origin of language. 9. Recitals. Any recitals in this Agreement are represented by the parties hereto to be accurate, constitute a part of the parties' substantive agreement, and are fully incorporated herein as matters of contact and not mere recitals. 10. Time. Time is of the essence. Unless otherwise specified, all references to "days" mean calendar days. Business days exclude Saturdays, Sundays, and legal public holidays. If the date for performance of any obligation falls on a Saturday, Sunday, or legal public Federal or Texas state holiday, the date for performance will be the next following regular business day. 11. Choice of Law. This Agreement will be construed under the laws of the State of Texas without regard to choice-of--law rules of any jurisdiction. Venue shall be in Bexar County, Texas with respect to any lawsuit arising out of or construing the tenns and provisions of this Agreement. No provision of this Agreement shall constitute a consent by suit by any party. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SCHERTZ, TEXAS THAT: Section 1. The City Council hereby authorizes the City Manager to execute and deliver the Agreement with Croton Properties, LLC in substantially the form set forth on Exhibit A. The City Manager, in consultation with the Mayor and the City Attorney, is hereby authorized to finalize the Agreement and all Exhibits thereto, provided that no modifications authorized by the City Manager shall be contrary to, or inconsistent with, the Agreement in the form attached hereto. Section 2. The recitals contained in the preamble hereof are hereby found to be true, and such recitals are hereby made a part of this Resolution for all purposes and are adopted as a part of the judgment and findings of the City Council. Section 3. All resolutions, or parts thereof, which are in conflict or inconsistent with any provision of this Resolution are hereby repealed to the extent of such conflict, and the provisions of this Resolution shall be and remain controlling as to the matters resolved herein. Section 4. This Resolution shall be construed and enforced in accordance with the laws of the State of Texas and the United States of America. Section 5. If any provision of this Resolution or the application thereof to any person or circumstance shall be held to be iuvalid, the remainder of this Resolution and the application of such provision to other persons and circumstances shall nevertheless be valid, and the City Council hereby declares that this Resolution would have been enacted without such invalid provision. Section 6. It is officially found, determined, and declared that the meeting at which this Resolution is adopted was open to the public and public notice of the time, place, and subject matter of the public business to be considered at such meeting, including this Resolution, was given, all as required by Chapter 551, Texas Government Code, as amended.
