This Resolutions shall be in force sold effect ti•an~ alul after its final passage, and it is sv resolved. s~a~so6~.z INTLRLOCAL AGREIt~Mt~NT This Interlocal Agreen~e-~t, effective as of Ma-•c:h 5, 2Q13 (this "Agreement"), is between the CitJz of Scher#z, 'I"exas, a political subdivision of the State of Texas {tl-e "City"}, and Guadalupe Regional Medical Center, a political s~-bdivision of tl~e State of Texas created p~-rsuant to the Texas T-Iealth & Safety Code, Chapter 265, as ame-~deci (tl-e "Hospital"). WIIEREAS, certain citizc-~s in tl~e City -~eed assistance to buy prescription medication; WHEREAS, the Hospital desires to contract with the City to provide a prescription assists-ice program to qualified citizens of the City i-~ order to preserve and protect such citizens' health and safety; WHEREAS, the City and the l-laspital have deter-~~itaet3 to enter into this ~1,greernent -`elsling to the provision of a prescription assistance program ivitlrin the City and to set out the terms, Fights, duties, and responsibilities of the City and the I-Tospital ~i7itl- respect thereto; V~rHEREAS, the City aeknawledges that the Hospital may contract with the G~-adalupe Valley I~ospital Fot--~dation to -t-attage the prescriptio-~ assistance program ~,vithin the City; WHEREAS, the City and tl~e Hospital leave deter-~iined that the provision of a prescription assistance program is a public purpose and within their start-tory powers of gover-nnent; and WHEREAS, the Cit}+ and the Hospital are political subdivisions of the State of Texas and are authorized to execute this Agreemetrt pursue-~t to Texas Gove~~ment Code Chapter 79LOQ1, as amended; NOW, THEREDORE, "1'HE CITY AND THE HOSPI'T'AL, ACTING BY AND THROUGH TI-IIITt DULY AUTHORIZED ODDICERS, HEREBY COVENANT AND AGTZEE AS DOLLOWS: Section l . Purpose. (a} The Hospital agrees that during the term of this Agreement the Hospital shall provide prescriptioj~ medications free of charge or at a logy cost to citize--s of the City who qualify 1'or assistance under the guideli~~es established bJ! each drug -nanufaCtul'et', as described to the City by the Hospital. (b) The Hospital shall observe and comply with ail applicable federal, state, eo-rnty, and Cite laws, -•--les, ordins-iees, and regulations which in any manne-• affect the provision oI'the services described in this Agreement. ~c) The Hospital agrees to provide a written report to the City Councit of the City on o-• ahaut iylarcl- 1 (received fo-• 2013) and September 1 of each JTca-' that documents that the payments by the City described in Section 3 have primarily benetitted citizens of the City. Due to patient privacy considerations, repo-•ts contsinia~g sl~ecilic patient i~~fo~•mation shall not be made available to the City ~vitl~out tl~e appropriate written conse-at of the patient or the patient's alilllorlZed rep-•esentative.
