A RESOLUTION BY THE CITY COUNCIL OF THE CITY OF SCHERTZ,
TEXAS AUTHORIZING AMENDMENT 1 (ONE) TO THE EMS
INTERLOCAL AGREEMENTS WITH MULTIPLE GOVERNMENTAL
ENTITIES FOR THE PROVISION OF EMERGENCY MEDICAL SERVICES
AND OTHER MATTERS IN CONNECTION THEREWITH
WHEREAS, the City of Schertz entered into an Interlocal Agreement with multiple
governmental entities effective as of October 1, 2023 for the provision of Emergency Medical Services;
and
WHEREAS, the City of Schertz has determined that the provision of certain emergency
medical services is a public purpose and within their statutory powers of government; and
WHEREAS, the City of Schertz wishes to amend the Interlocal Agreements with multiple
governmental entities for the provision of emergency medical services; and
WHEREAS, the City Council hereby finds that the amendments are reasonable and necessary
for the safety and welfare of the general public; and
WHEREAS, the City Council authorizes the City Manager to amend the Interlocal Agreements
and take any additional action reasonably necessary to ensure such amendments are executed.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
SCHERTZ, TEXAS THAT:
Section 1. The City Council hereby authorizes the City Manager to
amend the interlocal agreement with the City of Seguin for emergency medical
services as set forth in Exhibit A.
Section 2. The City Council hereby authorizes the City Manager to
amend the interlocal agreement with Caldwell County ESD#5 for emergency medical
services as set forth in Exhibit B.
Section 3. The City Council hereby authorizes the City Manager to
amend the interlocal agreement with Wilson County ESD#3 for emergency medical
services as set forth in Exhibit C.
Section 4. The recitals contained in the preamble hereof are hereby found to
be true, and such recitals are hereby made a part of this Resolution for all purposes
and are adopted as a part of the judgment and findings of the City Council.
Section 5. All resolutions, or parts thereof, which are in conflict or inconsistent
with any provision of this Resolution are hereby repealed to the extent of such conflict, and
the provisions of this Resolution shall be and remain controlling as to the matters resolved
herein.
Section 6. This Resolution shall be construed and enforced in accordance with
the laws of the State of Texas and the United States of America.
Section 7. If any provision of this Resolution or the application thereof to
any person or circumstance shall be held to be invalid, the remainder of this Resolution
and the application of such provision to other persons and circumstances shall nevertheless
be valid, and the City Council hereby declares that this Resolution would have been enacted
without such invalid provision.
Section 8. It is officially found, determined, and declared that the meeting at which
this Resolution is adopted was open to the public and public notice of the time, place,
and subject matter of the public business to be considered at such meeting, including this
Resolution, was given, all as required by Chapter 551, Texas Government Code, as
amended.
Section 9. This Resolution shall be in force and effect from and after its final
passage, and it is so resolved.

AMENDMENT NUMBER 1 TO THE
STATE OF TEXAS § 1NTERLOCAL AGREEMENT BETWEEN
§ THE CITY OF SEGUIN AND THE CITY
COUNTY OF GUADALUPE § OF SCHERTZ, TEXAS, FOR
EMERGENCY MEDICAL SERVICES
This Amendment No. 1 (the "Amendment") is made and entered into as of the l s.l_ day of October
2026, by and between the City of Schertz, a political subdivision of the State of Texas (hereinafter
referred to as "City"), and the City of Seguin, a political subdivision of the State of Texas (hereafter
referred to as "Seguin").
WHEREAS, Guadalupe County (the "County") contracts with the City of Schertz for the
provision of emergency medical services in the unincorporated areas of the County; and
WHEREAS, the City of Seguin and the City of Schertz have previously entered into an interlocal
agreement wherein the two cities split up the unincorporated areas in order to provide efficient and
timely service to residents who need emergency medical service; and
WHEREAS, it is in the public interest that the City of Seguin and the City of Schertz enter into
the attached lnterlocal Agreement for these emergency medical services.
WHEREAS, the City and Seguin have determined that the provision of certain emergency medical
services is a public purpose and within their statutory powers of government;
NOW. THEREFORE, the City and Seguin agree to amend the Agreement as follows:
Subsections c), d), h), and i) of Section 1 of the Agreement is replaced and superseded by
the following new subsections.
c) Seguin agrees that during the term of the Agreement, it shall use available EMS resources
to respond to requests for service on a next -available -ambulance basis regardless of call
location within the Seguin coverage area. The Parties recognize that Seguin will not
exhaust and deploy all EMS resources outside the corporate limits of Seguin at the same
time, but will retain at least a minimal threshold of resources within the corporate limits to
continue providing emergency services in Seguin. In the event a request for service cannot
be filled by Seguin, it will invoke Mutual Aid pursuant to Section 7, below, until such time
that it has the resources to provide the response.
(d) Seguin agrees to use every effort possible to maintain an average monthly response time
of thirteen (13) minutes on responses not to include cancellations, transfers, standbys, or
un-safe scenes in which law enforcement must make the scene safe prior to entry. Response
time shall be defined as the period of time starting when a Seguin ambulance is notified of
an emergency response and ending when an ambulance arrives on location of the
emergency. The Parties recognize and agree that response times may greatly vary over such
a large service area (approximately 440 square miles).
(h) The Parties agree to maintain Mutual Aid agreements with multiple agencies, including
each other, to provide appropriate responses during times of high call volume or multiple
casualty incidents.
(i) Seguin agrees to coordinate and respond with all Guadalupe County First Responders
including Medical Direction and coordination of responses.
Section 3 of the Agreement is replaced and superseded by the following new Section 3
3. Term and Renewal
a) This Agreement shall be for a term commencing with the effective date of October 1, 2026,
through and including September 30, 2028 (the "Term") unless either party to this
Agreement notifies the other party in writing that it wishes to terminate this Agreement.
Such notice shall be provided by registered or certified mail not less than one hundred
eighty (180) days prior to the end of the Term.
Section 4 of the Agreement is replaced and superseded by the following new Section 4
4. Consideration
a) In consideration of Seguin's provision of Emergency Medical Services during the Term,
Schertz agrees to pay Seguin twelve (12) equal monthly installments within fifteen (15)
days of each month as outlined below:
Fiscal Year 2027 — $706,960.15
Fiscal Year 2028 — $777,656.17
b) Schertz retains the right to negotiate with one or more sub -contractors for the provision of
EMS to the County on an annual basis with respect to territory coverage, call volume and
other considerations so that Schertz may facilitate the highest levels of EMS service being
provided at all times throughout all areas of the County.
c) Schertz agrees not to withhold monthly installments for any reason other than monthly
reports not being received from Seguin in a timely manner. Alleged failure to perform shall
be addressed in accordance with this Agreement but shall not be reason to withhold
payments.
d) Schertz agrees that, in addition to the fee payable by Schertz to Seguin pursuant to Section
4(a), Seguin and its contracted designees will make every attempt to bill and collect from
the patient's insurance company. In no event shall Schertz or the County be responsible for
payment of such patient charges.
All other requirements, terms, and conditions in the Agreement that are not hereby amended are to
remain in full force and effect.

provided at all times throughout all areas of the County.
c) Schertz agrees not to withhold monthly installments for any reason other than monthly
reports not being received from Caldwell County in a timely manner. Alleged failure to
perform shall be addressed in accordance with this Agreement but shall not be reason to

(hereafter referred to as "Wilson County").

provision of emergency medical services in the unincorporated areas of the County; and
WHEREAS, Wilson County and the City of Schertz have previously entered into an interlocal
agreement wherein the two cities split up the unincorporated areas in order to provide efficient and
timely service to residents who need emergency medical service; and
WHEREAS, it is in the public interest that the Wilson County and the City of Schertz enter into
the attached lnterlocal Agreement for these emergency medical services.
WHEREAS, the City and Wilson County have determined that the provision of certain emergency
medical services is a public purpose and within their statutory powers of government;
NOW. THEREFORE, the City and Wilson County agree to amend the Agreement as follows:
Section 3 of the Agreement is replaced and superseded by the following new Section 3

a) This Agreement shall be for a term commencing with the effective date of October 1,
2026, through and including September 30, 2028 (the "Tenn") unless either parry to this
Agreement notifies the other party in writing that it wishes to terminate this Agreement.
Such notice shall be provided by registered or certified mail not less than one hundred
eighty (180) days prior to the end of the Tenn.
Section 4 of the Agreement is replaced and superseded by the following new Section 4
4. Consideration
a) In consideration of Wilson County's provision of Emergency Medical Services during the
Term, Schertz agrees to pay Wilson County twelve (12) equal monthly installments within
fifteen (15) days of each month as outlined below:
Fiscal Year 2027 — $73,876.59
Fiscal Year 2028 — $81,264.24
b) Schertz retains the right to negotiate with one or more sub -contractors for the provision of
EMS to the County on an annual basis with respect to territory coverage, call volume and
other considerations so that Schertz may facilitate the highest levels of EMS service being
provided at all times throughout all areas of the County.
c) Schertz agrees not to withhold monthly installments for any reason other than monthly
reports not being received from Wilson County in a timely manner. Alleged failure to
perform shall be addressed in accordance with this Agreement but shall not be reason to
withhold payments.
d) Schertz agrees that, in addition to the fee payable by Schertz to Wilson County pursuant to
Section 4(a), Wilson County and its contracted designees will make every attempt to bill
and collect from the patient's insurance company. In no event shall Schertz or the County
be responsible for payment of such patient charges.
All other requirements, terms, and conditions in the Agreement that are not hereby amended are to
remain in full force and effect.
