A RESOLUTION BY THE CITY COUNCIL OF THE CITY OF
SCHERTZ, TEXAS ACCEPTING A DEED OF DEDICATION AND
AUTHORIZING A LETTER AGREEMENT WITH 196 SCENIC HILLS,
LTD.; AND OTHER MATTERS IN CONNECTION THEREWITH
WHEREAS, the City Council (the "City Council") of the City of Sclrertz, Texas (tlre
"City") has determined that it is in the best interest of the City to accept a Deed of Dedication
and to enter into a Letter Agreement with 196 Scenic Hills, Ltd., both relating to the dedication
of certain land within the Scenic Hills subdivision; now, tlrerefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SCHERTZ, TEXAS
THAT:
Section 1. The City Council hereby accepts the Deed of Dedication from 196 Scenic
Hills, Ltd. for approximately 3.802 acres of land, in substantially the form attached hereto as
Exhibit A.
Section 2. The City Council hereby authorizes the City Manager to execute and
deliver a Letter Agreement with 196 Scenic Hills, Ltd., in substantially the form attached hereto
as Exhibit B.
Section 3. The recitals contained in the preamble hereof are hereby found to be true,
and such recitals are hereby made a part of this Resolution for all purposes and are adopted as a
part of the judgment and findings of the Council.
Section 4. All resolutions, or parts thereof, which are in conflict or inconsistent with
any provision of this Resolution are hereby repealed to the extent of such conflict, and the
provisions of this Resolution shall be and remain controlling as to the matters resolved herein.
Section 5. This Resolution shall be conshued and enforced in accordance with the
laws of the State of Texas and the United States of America.
Section 6. If any provision of this Resolution or the application thereof to any person
or circumstance shall be held to be invalid, the remainder of this Resolution and the application
of such provision to other persons and circumstances shall nevertheless be valid, and the Council
hereby declares that this Resolution would have been enacted without such invalid provision.
Section 7. It is officially found, determined, and declared that the meeting at which
this Resolution is adopted was open to the public and public notice of the time, place, and subject
matter of the public business to be considered at such meeting, including this Resolution, was
given, all as required by Chapter 551, as amended, Texas Government Code.
Section 8. This Resolution shall be in force and effect from and after its final
passage, and it is so resolved.

Re: Dedication of Real Property to City of Schertz, Texas
Dear Mr. Guerra:
This letter agreement (this "Agreement") is between the City of Schertz, Texas (the
"City") and 196 Scenic Hills, Ltd. (the "Partnership") with respect to the Partnership's
dedication to the City of approximately 3.802 acres of land described on Exhibit A hereto (the
"Land").
A. Agreements and Representations. The following agreements are made for and in
consideration of the sum of ten and no/100 dollars ($10.00) cash and other good and valuable
consideration in hand paid by the City, the receipt and sufficiency of which consideration are
hereby confessed and acknowledged.
1. The Partnership will execute and record all reasonably necessary documents of
conveyance and release (which documents will be prepared by and recorded at the
expense of the City) to dedicate the Land to the City as provided herein, including
but not limited to the Deed of Dedication in the form attached hereto as Exhibit B
(the "Deed"), no later than ten (10) days after the City Council's adoption of the
Resolution.
2. The Partnership represents and warrants that the Partnership is the sole owner of
the Laud and that the Partnership has complete and unrestricted power to enter
into this Agreement.
3. The Partnership agrees to amend the Declaration of Restrictive Covenants,
Conditions and Restrictions recorded as Document #200206038942 in the Official
Records of Comal County, Texas, to exclude the City and the Land from any
resh~ictions imposed by such document and to record such amendment in the
Official Records of Comal County, Texas simultaneously with the recordation of
the Deed.
4. The Partnership agrees to use its best efforts to have the Restriction on Use
contained in the Special Warranty Deed With Vendor's Lien recorded as

Document #200106029060 in the Official Records of Corral County, Texas,
released by Casey Morrow Investment, Ltd., as grantor of that Deed, in a
document to be recorded in the Official Records of Corral County, Texas.
B. Acknowledgement. The terms and obligations set forth herein may be accepted
by the Partnership by delivery to the City Manager of the City of a signed and acknowledged
original of this Agreement.
C. General Matters.
1. This Agreement shall be governed by Texas law.
2. This Agreement may be executed in counterparts by all parties hereto and such
counterparts, taken together, shall be deemed to be one instrument.
3. Time is of the essence in the performance of this Agreement.
