Trustees

The undersigned persons, being all of the Trustees of The City of Schertz Employee Benefits
Trust (the "Trust") hereby unanimously approve the following Resolution:
BE IT RESOLVED BY THE TRUSTEES OF THE CITY OF SCHERTZ EMPLOYEE
BENEFITS TRUST AS FOLLOI~S:
1. Auy premiums deposited to the Trust by the City far employee benefits for Plan Year
January 1, 2012 through December 31, 2012 shall be promptly paid by the Trust to the appropriate
insurance car7•iers for such period.
2. John C. KesseI and, in his absence or unavailability, John Bierschwale, David J. Harris,
Robert Cantu, or Juan Santoya are authorized as signatories of the Account(s) on behalf of the Trust for
the purpose of carrying on the business of the Trust as scheduled invoices are due for payment and as
otherwise authorized.
3. Hal Baldwin and, if required by the Bank, Cedric Edwards, as Trustees of the Trust, are
authorized to execute such further resolutions and other documents as may be required by the Bank to
confijm to the Bank the actions authorized in this Resolution, and the persons named in paragraph 2
above are authorized to sign any signature cards required by the Bank with respect to the Account(s).
4. All of the undersigned waive all notices required for consideration and adoption of this
Resolution.
This Resolution shall be effective as of the above date when it has been signed by all of the below
Trustees.
