6;
Our records show that you were notified that the above referenced corporation has neglected to file the report required by
applicable law. The report was not filed within the time period prescribed by law, and consequently, the corporation's right to
conduct affairs was forfeited. The one hundred twenty (120) day period during which this delinquency may have been corrected
has expired. As of the date of this letter, the domestic corporation has been involuntarily dissolved or terminated or the
registration of the foreign corporation has been revoked by order of the Secretary of State. Enclosed is a copy of the certificate
of the Involuntary Dissolution.
The corporation may be reinstated at any time by filing the report prescribed by law, together with a late filing fee of $25.
The report (Form 802) is available on the agency web site at: http: / /www.sos. state .tx.us /corp /forms_boe.shtml. In
addition, the corporation must pay all other fees, taxes, penalties and interest which were due at the time of dissolution,
termination, or revocation and which would have accrued during the period that the corporation was dissolved, terminated,
or revoked.
If the name of the corporation is not available at the time of application for reinstatement, the corporation must file an
amendment to change its name or obtain a letter of consent from the entity with the conflicting name if that is a possible
alternative. In the case of a foreign non - profit corporation, the corporation may file an application for an amended
registration to conduct its affairs in the state under an assumed name if the name of the corporation is not available at the
time of its application for reinstatement. The foreign corporation also would file an assumed name certificate in
compliance with Chapter 36 of the Texas Business and Commerce Code.
If you have any questions, please contact the Reports Unit at 512- 475 -2705.
Sincerely,
Reports Unit
