Monthly Meeting on Thursday, April 9, 2020, at 6:00 p.m. will be held by VIDEO CONFERENCE and/or in-person (limited to 10 person including staff and SEDC Board Members) at the Hal Baldwin Municipal Complex, Council Chambers, Building No. 4, Conference Room, 1400 Schertz Parkway, Schertz, Texas. This is an open meeting, subject to the open meeting laws of the State of Texas.
INSTRUCTIONS FOR VIDEO-CONFERENCE THIS BOARD MEETING WILL BE HELD USING A VIDEO CONFERENCE SYSTEM CALLED MICROSOFT TEAMS. THIS BOARD MEETING IS AUTHORIZED BY
GOVERNOR GREG ABBOTT’S TEMPORARY SUSPENSION OF CERTAIN ASPECTS OF
THE TEXAS OPEN MEETINGS ACT TO AVOID GATHERING MEMBERS OF THE PUBLIC AND/OR BOARD MEMBERS IN A PHYSICAL SETTING THAT MIGHT CONSTITUTE A PUBLIC HEALTH RISK, THIS ORDER ALLOWS FOR A GOVERNING BODY TO HOLD A “VIRTUAL” MEETING. YOU MAY ONLY WITNESS THIS MEETING BY USING THE
METHOD LISTED BELOW.
PUBLIC COMMENTS ARE TO BE SUBMITTED IN WRITING TO THE SEDC EXECUTIVE ASSISTANT for the SEDC Board meeting, public comment/input may be provided, in writing, in the form of an e-mail and shall be e-mailed to the SEDC Executive Assistant at
phoran@schertz.com no later than 30 minutes prior to the start of the meeting SO THAT THE
SEDC EXECUTIVE ASSISTANT MAY READ THE PUBLIC COMMENTS INTO THE RECORD UNDER ITEM #2. In the body of the email please include your name, your address, phone number, and agenda item # if applicable or subject of discussion, and your comments.

2. Public comment - This time is set aside for any person who wishes to address the Board.
Comments should be limited to no more than 3 minutes. The SEDC Executive Assistant will read all comments received via email into the record.
Consent agenda items – All the following items may be acted upon by one motion. No
separate discussion or action on any of the items is necessary unless desired by a Board

Items for individual consideration 7. Briefing and possible action on approval of SEDC Resolution 2020-1 for Schertz 312, LLC authorizing an extension to the performance agreement for infrastructure improvements and providing for additional extensions through City Manager approval. (A. Perez)
Closed Session 8. Called in accordance with Section 551.071 and 551.087 of the Texas Government Code, Consultation with Attorney and Deliberation Regarding Economic Development Negotiations; Closed Meeting. The governmental body is not required to conduct an open
meeting (1) to discuss or deliberate regarding commercial or financial information that the
governmental body has received from a business prospect that the governmental body seeks to have locate, stay, or expand in or near the territory of the governmental body and with which the governmental body is conducting economic development negotiations; or (2) to deliberate the offer of a financial or other incentive to a business prospect, or on a
matter in which the duty of the attorney to the governmental body under the Texas
Disciplinary Rules of Professional Conduct of the State Bar of Texas clearly conflicts with the Act.

The City of Schertz Economic Development Corporation Board of Directors reserves the right to adjourn into Closed Session at any time during the course of this meeting to discuss any of the matters listed above, as authorized by the Texas Open Meetings Act. Closed Sessions Authorized: This agenda has been reviewed and approved by the City’s legal counsel and the presence of any subject in any Closed Session portion of the agenda constitutes a written interpretation of Texas Government Code Chapter 551 by legal counsel for the governmental body and constitutes an opinion by the attorney that the items discussed therein may be legally discussed in the closed portion of the meeting considering available opinions of a court of record and opinions of the Texas Attorney General known to the attorney. This provision has been added to this agenda with the intent to meet all elements necessary to satisfy Texas Government Code Chapter 551.144(c) and the meeting is conducted by all participants in reliance on this opinion.
