The City of Schertz Economic Development Corporation (SEDC) Board of Directors met for a
Regular Monthly Meeting on Thursday, September 29, 2022, at 6:00 p.m. in the Hal Baldwin
Municipal Complex, Council Chambers Board Room, Building No. 4, 1400 Schertz Parkway,
Schertz, Texas. This is an open meeting, subject to the open meeting laws of the State of Texas.
Call to order
1. Roll call and recognition of visitors
Board President Macaluso presided over the meeting and called it to order at 6:00 p.m. Mr.
Macaluso welcomed everyone in attendance.

3. Approval of the minutes for the Board of Directors Regular Monthly Meeting held on

A motion to approve the minutes for the Board of Directors Regular Monthly Meeting held
Thursday, August 25, 2022, was made by Mr. Bryan Snowden and seconded by Mr. Mark
Moody. Motion passed unanimously.

4. Recognition of service on the SEDC Board of Directors, Jesse Carrasco. (A. Perez)
Mr. Perez recognized Mr. Carrasco for his service to the Schertz Economic Development
Corporation sharing his time and talent. Mr. Carrasco was presented with a clock to
symbolize the time spent in service. Mr. Perez thanked Mr. Carrasco for sharing of his
talent and advice to the Board. Mr. Macaluso expressed his appreciation and thanks.
5. Staff briefing on SEDC Financial statements for the month of August 2022. (J. Walters I A.
Perez)
Mr. Walters provided the following summary and overview of the SEDC Financial
Statement for the month of August:
Sales tax revenue for August was $607,954.62 which is a 9.5% decrease from August 2021.
However, in August 2021 the City received a large audit adjustment that caused an
abnormally high month. When that adjustment is removed from consideration, sales taxes
are shown to increase by 3.2% for August 2022. Major expenditures for the month were for
software and travel expenses totaling $8,448.85.
Capital, cash, and investments are at $25.63 million. The 12-month rolling average is still
trending up at 12.7%.
6. Briefing and possible action on SEDC Resolution No. 2022-12 authorizing a Memorandum
of Agreement (MOU) on Infrastructure Funding for FY 2022-2023 between the City of
Schertz Economic Development Corporation and the City of Schertz. (A. Perez)
Mr. Perez stated the purpose of the MOU is to formalize processes between the SEDC and
City on Infrastructure Projects for FY 2022-2023 to support the administration of the SEDC
Reserve Fund. The MOU will ensure the SEDC Board is provided all necessary information
to prioritize and budget for current and future infrastructure funding requests, providing for
funding approvals, status reports, and project closing processes for use of funds under
Section 501.107 of the Texas Local Government Code.
A motion to approve SEDC Resolution No. 2022-12 authorizing a Memorandum of
Understanding between the City of Schertz Economic Development Corporation and the City
of Schertz, Texas with amended language to include EDC will only provide the EDC
approved portion funding of total project costs was made by Ms. Sammi Morrill and
seconded by Mr. Roy Richard. Motion passed unanimously.
7. Public hearing, briefing, and possible action on approval of SEDC Resolution 2022-13
authorizing a funding agreement between the City of Schertz Economic Development
Corporation and the City of Schertz for the signalization of Schertz Parkway and Lookout
Road and approving up to $90,000 for the design of the same. (A. Perez)

Mr. Perez stated SEDC Resolution 2022-13 recommends Schertz City Council allocate up
to $90,000 for the design of the signalization of Schertz Parkway and Lookout Rd in support
of an Interlocal Agreement (ILA) between the City of Schertz and the City of Selma from
the SEDC Reserve Fund. Funding for this action was allocated and approved by the SEDC
Board of Directors and approved by the Schertz City Council on September 13, 2022, within
the SEDC FY 2022-2023 Annual Budget. This project is added to the previous Lookout
Road redevelopment project. City of Selma has committed to covering 1/3 of the cost of the
signalization.

A motion to approve SEDC Resolution 2022-13 authorizing a funding agreement between
the City of Schertz Economic Development Corporation and the City of Schertz Texas for
Signalization on Schertz Parkway intersection with amended language in the funding
agreement to remove the phrase ''up to" said dollar amount was made by Mr. Roy Richard
and seconded by Mr. Mark Moody. Motion passed unanimously.
8. Public Hearing, briefing and possible action on SEDC Resolution No. 2022-7 authorizing a
funding agreement between the City of Schertz Economic Development Corporation and the
City of Schertz for the redevelopment of Lookout Road and approving up to $770,000 for
the design of the same. (A. Perez)
Mr. Perez SEDC Resolution 2022-7 recommends Schertz City Council allocate up to
$770,000 for the design of the redevelopment Lookout Rd and upsizing of wastewater
facilities from Tri County Parkway to the intersection of Schertz Parkway. Funding for this
action was allocated and approved by the SEDC Board of Directors and approved by the
Schertz City Council on September 13, 2022, through adoption of the SEDC FY 2022-2023
Annual Budget.

verbiage removing ''up to" was made by Mr. Roy Richard and seconded by Mr. Jesse
Carrasco. Motion passed unanimously.
9. Public hearing, briefing, and possible action on SEDC Resolution No. 2022-9 authorizing an
economic development performance agreement between the City of Schertz Economic
Development Corporation and Coldwell Banker D' Ann Harper, REALTORS , and other
matters in connection therewith. (A. Perez)

Mr. Perez explained that there was a posting error on this item so it would be moved to the
next Board meeting for consideration.
10. Public hearing, briefing, and possible action on SEDC Resolution No. 2022-8 authorizing an
economic development performance agreement between the City of Schertz Economic
Development Corporation and Schertz RE Company, LLC; and other matters in connection
therewith. (A. Perez)
Mr. Perez explained that this item is being pushed to the next meeting. Due to a posting
error on item 9. Items 9 and 10 are joined with respect to infrastructure and should be heard
during the same meeting.
Board President Paul Macaluso recessed the meeting to closed session at 6:41 p.m.

11. The SEDC Board will meet in closed session in accordance with Section 551.071 of the
Texas Government Code Deliberation Regarding Consultation with Attorney, Closed
Meeting. The governmental body is not required to conduct an open meeting (1) when the
governmental body seeks the advice of its attorney about: (A) pending or contemplated
litigation, or (B) a settlement offer, or (2) on a matter in which the duty of the attorney to
the governmental body under the Texas Disciplinary Rules of Professional conduct of the
State Bar of Texas clearly conflicts with this chapter.

12. The SEDC Board will meet in closed session in accordance with Section 551.087 of the
Texas Government Code Deliberation Regarding Economic Development Negotiations,
Closed Meeting. The governmental body is not required to conduct an open meeting (1) to
discuss or deliberate regarding commercial or financial information that the governmental
body has received from a business prospect that the governmental body seeks to have locate,
stay, or expand in or near the territory of the governmental body and with which the
governmental body is conducting economic development negotiations; or (2) to deliberate
the offer of a financial or other incentive to a business prospect.
