20230223 Minutes SEDC Board Reg Mtg§C1HlJE1R{l[l ECONOMIC DEVELOPMENT CORPORATION MINUTES Thursday, February 23 , 2023 The City of Schertz Economic Development Corporation (SEDC) Board of Directors met for a Regular Monthly Meeting on Thursday, February 23, 2023, at 6:00 p.m. at the Schertz Library, Meeting Room 1, 798 Schertz Parkway, Schertz, Texas. This is an open meeting, subject to the open meeting laws of the State of Texas. Call to order 1. Roll call and recognition of visitors Board President Macaluso presided over the meeting and called it to order at 6:00 p.m. Mr. Macaluso welcomed everyone in attendance. Public comment -This time is set aside for any person who wishes to address the board. Presentations should be limited to no more than J.. minutes. The presiding officer will call on those persons who have signed up to speak. No public were present. No comments were made. Minutes 3. Approval of the minutes for the Board of Directors Regular Monthly Meeting held on Thursday, January 26, 2023. (H. Malish/S. Coumey) A motion to approve the minutes for the Board of Directors Regular Monthly Meeting held Thursday, January 26, 2023 , was made by Mr. Bryan Snowden and seconded by Mr. Jesse Hamilton. Motion passed unanimously . SEDC Minutes 02/23/2023 Page 1 of 3 Presentations 4. Staff briefing on SEDC Financial statements for the month of January. (J. Walters) January 2023 sales tax received was $478,000, a 3.2% increase over the year prior; growth has slowed but has not stopped. The 12-month rolling average is 8.6% which still outpaces the longer-term average of 7%. Notable expenditures include annual subscription payments and the ICSC trip registrations and flights. Total Cash & Investments figure at the end of January was $26.9 million. 5. Staff briefing and possible action on SEDC Resolution 2023-4 for the approval of the Independent Auditor's Report for the Year Ended September 30, 2022. (Clayton Rogers, Auditor Partner of Pattillo, Brown and Hill, LLP/J.Walters) Agenda item 5 was tabled. Audit report was not presented. 6. Staff briefing and possible action on SEDC Resolution 2023-3 , a resolution by the City of Schertz Economic Development Corporation of Schertz, Texas approving Amended and Restated Bylaws of such Corporation; and other matters in connection therewith. (H.Malish) Ms. Malish explained that the amendments to the Bylaws included an update oftenn end dates for Board of Directors consistent with City of Schertz City Council adoption of Ordinance 22-M-20 and the addition of governance under Chapter 22 of the Texas Business Organizations Code as recommended by the City Attorney. A motion to approve SEDC Resolution 2023-3 for the approval of the amended SEDC Bylaws, was made by Mr. Mark Moody and seconded by Ms. Sammi Morrill. Motion passed unanimously. 7. Staff briefing on Schertz EDC Incentive Certifications Ms. Malish provided th e following update regarding the filing of incentive certifications. Certifications were due February 15 , 2023. Each business was contacted at least twice. To date SEDC has received a little over half of the required certifications. Staff will continue to work with businesses to obtain the certifications. 8. EDC Staff Update (S. Williams) Mr. Willi ams provided the following Staff update as requeste d by Board members at the January 26, 2023, meeting. Vacancies within the SEDC include the Executive Director, Business Engagement Manager, and Administrative Assistant positions. An offer has been extended for the Business Engagement Manager with an expected start date of March 13 , 2023. The administrative assistant position is vacant due to the promotion of Sheree Courney to Deputy City Secretary. Ms. Courney will continue assi sting EDC until the position is fill e d. Ms. Malish is currently serving as the interim Director while the Executive Director position is being recruited . Brian James, Deputy City Manager, and Mr. Williams, City Manager, will both be heavily involved in EDC going forward. Board President Paul Macaluso recessed the meeting to closed session at 6: 15 p.rn. CLOSED SESSION 9. The SEDC Board will meet in closed session in accordance with Section 551.087 of the Texas Government Code Deliberation Regarding Economic Development Negotiations, Closed Meeting. The governmental body is not required to conduct an open meeting (1) to discuss or deliberate regarding commercial or financial information that the governmental body has received from a business prospect that the governmental body seeks to have locate, stay, or expand in or near the territory of the governmental body and with which the governmental body is conducting economic development negotiations; or (2) to deliberate the offer of a financial or other incentive to a business prospect. March 20 -May 1, 2023, Holly will be on leave of absence. 10. Requests by Board Members to place items on a future SEDC Board Meeting agenda. No requests were made.
