The City of Schertz Economic Development Corporation (SEDC) Board of Directors met for a Regular Monthly
Meeting on Thursday, November 16, 2023. at 6:00 p.m. at the Hal Baldwin Municipal Complex, Council

BACKGROUND
Developer intends to develop a mixed-use development on 19.134 acres adjacent to EVO center, off IH-35
COMMUNITY BENEFIT
Development will generate real property tax and sales tax from retail components. Additionally, development will
build-out the surrounding area around the EVO site with a master-planned retail that is greatly desired in the
community. The extension of Ripps-Kruesler is on the Master Thoroughfare plan and will open up traffic mobility.
FISCAL IMPACT
Developer will receive $4 million in funding to construct Ripps-Kruesler extension along with easements, utility
extensions, sidewalks, lighting, etc. Additionally, developer will receive up to $4 million in future revenues from
the sales tax generated by the development for additional infrastructure provisions.

A RESOLUTION BY THE CITY OF SCHERTZ ECONOMIC
DEVELOPMENT CORPORATION, TEXAS AUTHORIZING THE
EXECUTIVE DIRECTOR OF THE SCHERTZ ECONOMIC
DEVELOPMENT CORPORATION TO ENTER INTO AN
INCENTIVE AGREEMENT WITH MERIT ACQUISITIONS, LLC
AND OTHER MATTERS IN CONNECTION THEREWITH
WHEREAS, the City of Schertz Economic Development Corporation (“SEDC”) is a non-
profit industrial development corporation duly established under the Development Corporation
Act of 1979, as amended (Section 501.001 et seq. Texas Local Government Code, formerly the
Development Corporation Act of 1979) (the “Act”); and
WHEREAS, all powers of the corporation are vested in the SEDC Board of Directors (the
“Board”) appointed by the governing body of the corporation’s authorizing unity; and
WHEREAS, the Act authorizes a development corporation to fund certain projects as
defined by the Act and requires development corporations to enter into performance agreements
to establish and provide for the direct incentive or make an expenditure on behalf of a business
enterprise under a project; and
WHEREAS, Company, through wholly owned subsidiary Merit Acquisitions LLC, Inc.
desires to expand operations within the city by creating a commercial development that is located
at 18541 Ripps-Kreusler, Schertz, Guadalupe County, Texas 78154; and
WHEREAS, Corporation will pay Company one (1) cash payments of FOUR MILLION
DOLLARS ($4,000,000) in the form of an infrastructure grant from sales taxes proceeds paid to
the Corporation, to Company for on-site infrastructure at Company’s Schertz Station operation
when improvements of Ripps-Kreusler Roadway is accepted by the City. In addition, the
Corporation will also reimburse company in quarterly payments from sales tax proceeds paid to
the Corporation, the equivalent of ONE PERCENT (1%) of sales tax proceeds from the
development for an infrastructure grant not to exceed FOUR MILLION DOLLARS ($4,000,000)
or until the completion of the seventh year of this agreement; and
WHEREAS, Sections 501, 502, and 505 of the Texas Local Government Code (“Texas
LGC”) authorizes the SEDC to fund certain projects as defined therein and enter into an Incentive
Agreements to establish and provide for the direct incentive or make an expenditure on behalf of
a business enterprise under a project; and
WHEREAS, Section 501.103 authorizes expenditures for certain infrastructure
improvement projects that are found by the Board of Directors to be required or suitable for
infrastructure necessary to promote of develop new or expanded business enterprises; and
2
WHEREAS, Section 501.073 of the Act requires the SEDC’s authorizing unit to approve
all programs and expenditures; and
WHEREAS, the expansion of the Company, as proposed, will contribute to the economic
development of the City of Schertz by creating new jobs and increased employment, promoting
and developing expanded business enterprises, increased development, increased real property
value and tax revenue for the City of Schertz, and will have both a direct and indirect positive
overall improvements stimulus in the local and state economy.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
CITY OF SCHERTZ ECONOMIC DEVELOMENT CORPORATION THAT:
Section 1. The Schertz Economic Development Board hereby approve the Economic
Development Incentive Agreement attached hereto as ATTACHMENT A and authorizes the
President to execute and deliver in the substantial form as attached.
Section 2. The recitals contained in the preamble hereof are hereby found to be true,
and such recitals are hereby made a part of this Resolution for all purposes and are adopted as a
part of the judgment and findings of the Board.
Section 3. All resolutions, or parts thereof, which are in conflict or inconsistent with
any provision of this Resolution are hereby repealed to the extent of such conflict, and the
provisions of this Resolution shall be and remain controlling as to the matters resolved herein.
Section 4. This Resolution shall be construed and enforced in accordance with the laws
of the State of Texas and the United States of America.
Section 5. If any provision of this Resolution or the application thereof to any person
or circumstance shall be held to be invalid, the remainder of this Resolution and the application of
such provision to other persons and circumstances shall nevertheless be valid, and the board hereby
declares that this Resolution would have been enacted without such invalid provision.
Section 6. It is officially found, determined, and declared that the meeting at which
this Resolution is adopted was open to the public and public notice of the time, place, and subject
matter of the public business to be considered at such meeting, including this Resolution, was
given, all as required by Chapter 551, Texas Government Code, as amended.
Section 7. This Resolution shall be in force and effect from and after its final passage,
and it is so resolved.
